Terms of Service

These Terms govern your access to and use of PROM. Please read them carefully. This document is provided for the private beta and is being finalized for the public release.

01Acceptance of these Terms

These Terms of Service (the Terms) form a binding agreement between you and PROM (we, us, or our) and govern your access to and use of the PROM websites, applications, and services (collectively, the Service).

By creating an account, accessing, or using the Service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and references to you include that organization.

If you do not agree to these Terms, you may not use the Service.

02Eligibility

You must be at least 16 years old, or the age of digital consent in your jurisdiction, to use the Service. The Service is not directed to children.

You may not use the Service if you are barred from doing so under applicable law, or if your access has been previously suspended or terminated by us.

03Accounts and security

To use most features you must create an account and provide accurate, complete information. You are responsible for keeping your credentials confidential and for all activity that occurs under your account.

You must notify us promptly of any unauthorized use of your account or any other suspected breach of security. We are not liable for any loss arising from unauthorized use of your account where you failed to take reasonable steps to protect your credentials.

04Workspaces, organizations, and roles

The Service lets you create personal workspaces and organizations, invite members, and assign roles and permissions. The organization owner and administrators are responsible for managing access, configuring roles, and the conduct of members within that organization.

If you are invited to an organization, the organization may control, access, and retain content you contribute within that organization, and may restrict or remove your access. You should review your organization policies before contributing content.

05Beta services and fees

The Service is currently offered as a private beta. Beta features are provided for evaluation, may change or be discontinued at any time, and may contain errors or be unavailable without notice.

Personal workspaces are offered free of charge. Paid plans for teams and enterprises may be introduced. Where fees apply, they will be presented to you before you incur them, and continued use after a plan takes effect constitutes acceptance of the applicable fees. Unless required by law, fees are non refundable.

We may change pricing prospectively. Any change will not affect a paid term you have already purchased until that term renews.

06Acceptable use

You agree not to misuse the Service. In particular, you will not: (a) violate any law or the rights of others; (b) upload malicious code or attempt to gain unauthorized access to the Service or related systems; (c) probe, scan, or test the vulnerability of the Service without authorization; (d) interfere with or disrupt the integrity or performance of the Service; (e) reverse engineer or attempt to extract source code except to the extent permitted by law; (f) use the Service to build a competing product by copying its features or content; or (g) use the Service to generate or distribute unlawful, infringing, deceptive, or harmful content.

We may investigate and take appropriate action, including removing content and suspending or terminating accounts, for any violation of this section.

07Your content and ownership

You retain all rights in the content you submit to the Service, including specifications, documents, research, decisions, and other materials (your Content). We do not claim ownership of your Content.

You grant us a worldwide, non exclusive, royalty free license to host, store, process, transmit, display, and create derived representations of your Content solely to operate, secure, and improve the Service for you, and to provide the features you request.

You are responsible for your Content and represent that you have the necessary rights to submit it and to grant the license above.

08AI features and generated output

The Service includes AI features that draft documents, summaries, plans, and other materials based on your Content and inputs. The AI operates against your context and is designed to propose work for human review.

Generated output may be inaccurate or incomplete. You are responsible for reviewing output before relying on it, and you should not treat output as professional, legal, financial, or other expert advice. We do not use your Content to train models that serve other customers.

As between you and us, you own the output generated for you, subject to these Terms and to the rights of any third party model providers used to deliver the feature.

09Third party services and integrations

The Service may integrate with third party products such as source control, communication, and analytics tools. Your use of those products is governed by their own terms and privacy practices, and we are not responsible for them.

If you connect a third party product, you authorize us to access and exchange information with that product as needed to provide the integration you enabled.

10Our intellectual property

The Service, including its software, design, text, graphics, and the PROM name and marks, is owned by us or our licensors and is protected by intellectual property laws. Except for the rights expressly granted in these Terms, we reserve all rights.

If you provide feedback or suggestions, you grant us a perpetual, irrevocable, royalty free license to use that feedback without restriction or obligation to you.

11Confidentiality

Each party may access information of the other that is marked confidential or that should reasonably be understood to be confidential. The receiving party will protect such information with at least reasonable care and use it only to perform under these Terms.

These obligations do not apply to information that is public through no fault of the receiving party, was lawfully known before disclosure, or is independently developed without use of the confidential information.

12Privacy and data protection

Our collection and use of personal information is described in our Privacy Policy. Where we process personal data on your behalf as a processor, the terms of a Data Processing Addendum will apply and are available on request.

13Availability and changes to the Service

We aim to keep the Service available but do not guarantee uninterrupted or error free operation. We may modify, suspend, or discontinue features, and we may perform maintenance that temporarily limits availability.

We will use reasonable efforts to give advance notice of material adverse changes to features you rely on, except where a change is required for security, legal, or operational reasons.

14Term and termination

These Terms apply while you use the Service. You may stop using the Service and delete your account at any time.

We may suspend or terminate your access if you breach these Terms, if required by law, or if your use poses a risk to the Service or other users. We will use reasonable efforts to notify you.

On termination, your right to use the Service ends. We will make your Content available for export for a limited period where reasonably practicable, after which we may delete it in the ordinary course, subject to legal retention requirements and backups.

15Disclaimers

The Service is provided on an as is and as available basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title, and non infringement, and any warranty arising from course of dealing or usage of trade.

We do not warrant that the Service will meet your requirements, that AI generated output will be accurate, or that the Service will be secure, uninterrupted, or free of errors.

16Limitation of liability

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill, arising out of or related to the Service.

Our total liability for all claims relating to the Service will not exceed the greater of the amounts you paid us for the Service in the twelve months before the event giving rise to the claim, or one hundred United States dollars.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

17Indemnification

You will defend, indemnify, and hold us harmless from any claims, damages, liabilities, and expenses, including reasonable legal fees, arising from your Content, your use of the Service, or your breach of these Terms, except to the extent the claim arises from our gross negligence or willful misconduct.

18Governing law and disputes

These Terms are governed by the laws of the jurisdiction in which we are established, without regard to conflict of law principles. The courts located there will have exclusive jurisdiction, unless mandatory law in your country of residence provides otherwise.

Before filing a claim, each party agrees to try to resolve the dispute informally by contacting the other. If a dispute is not resolved within thirty days, either party may pursue formal proceedings.

19Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide notice through the Service or by other reasonable means and update the date above. Changes take effect when posted, and your continued use after that constitutes acceptance.
